Terms of Service

These Terms of Service ("Terms") govern your access to and use of QBuddy's AI-powered script rehearsal service (the "Service") at https://app.qbuddy.ai/.

By creating an account, accessing, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1) Operator

The Service is operated by Matteo Bassi, a sole proprietor based in Switzerland ("Operator").

When we incorporate a legal entity, we will update these Terms to reflect the legal entity name and address.

2) Eligibility

You must be at least 18 years old to use the Service, or older if the age of majority where you live is higher. When you create an account, or accept an update of these Terms, you confirm that you meet this requirement. If we learn that an account belongs to someone younger, we will close it, delete its Content and refund in full any payments made for it. If you use the Service for an organization, you represent that you have authority to bind that organization.

3) Accounts and security

You are responsible for safeguarding your account and for all activity under it. You agree to provide accurate information and to notify us of unauthorized access.

4) The Service and AI limitations

QBuddy helps you rehearse scripts using automated and AI-assisted features.

AI output can be wrong, incomplete, or inconsistent. You are responsible for how you use the Service and any generated output. The Service is provided for rehearsal/creative purposes and does not provide professional advice.

5) Your Content

A) You keep ownership

You retain all rights to your scripts and other content you upload ("Content").

B) License to operate the Service

You grant the Operator a limited, non-exclusive, worldwide license to host, store, process, and display your Content solely to provide and improve the Service.

C) You confirm you have the rights

You represent and warrant that you own or have the necessary rights to upload and use the Content.

Important: Many scripts are copyrighted. Only upload scripts you own, have licensed, or are authorized to use. When you upload a script, we ask you to confirm this.

D) Copyright complaints (notice and takedown)

We respect the rights of copyright holders. If you believe Content on the Service infringes your copyright, email support@qbuddy.ai with: (1) a description of the copyrighted work and the allegedly infringing Content, (2) enough information for us to locate it (for example, the script name or the account involved), (3) your contact details, and (4) a statement that you have a good-faith belief the use is not authorized by the rights holder, its agent, or the law.

We will review valid notices and may remove or disable access to the Content. We may suspend or terminate the accounts of users who repeatedly infringe.

6) Acceptable use

You agree not to:

• Use the Service for illegal purposes or to infringe others' rights.
• Upload malware or attempt to disrupt or access the Service improperly.
• Reverse engineer or scrape the Service except where legally allowed.
• Harass, threaten, or impersonate others.
• Attempt to extract prompts, system instructions, or model internals via automated means.

We may suspend or terminate accounts for violations.

7) Third-party services

The Service may rely on third-party services (for example, hosting, AI processing, payments, analytics). We are not responsible for third-party services outside our control.

8) Plans, passes, payments and who sells to you

Before you pay, we show each plan's and pass's features, price and currency, and a plan's billing period or a pass's length.

A) Merchant of record

Paid plans and passes are sold by qbuddy through Stripe Managed Payments and are "Sold through Link". For these purchases, Sold through Link, LLC (part of Stripe) is the merchant of record: it charges your payment method, calculates and collects any applicable taxes, and sends your receipts and invoices. It is not the seller; your contract for the plan or pass is with qbuddy. Your card or bank statement shows the charge as LINK.COM* followed by QBUDDY.AI or a similar descriptor. Your purchase is also subject to the Sold through Link terms.

The Operator remains responsible for the Service itself: your account, access to paid features, and product support.

B) Prices and taxes

Checkout shows the final amount, including any applicable VAT, GST or sales tax, before you confirm. Depending on where you are, the price may be shown and charged in your local currency, converted at checkout.

C) Subscriptions and cancellation

• Subscriptions renew automatically at the end of each billing period (monthly or annual) until you cancel.
• You can cancel at any time from your qbuddy profile or from your Link account at link.com. Cancellation takes effect at the end of the period you have already paid for, and you keep access until then.
• Each plan includes a number of scripts per month. Your count runs in 30-day periods: a period starts with your first upload after the previous one ended, and each period gives you your plan's full number of scripts. Unused scripts don't carry over. Yearly plans work the same way.
• What counts as a script: one uploaded file of up to 200 pages. A longer file uses one script for each 200 pages or part of 200 pages; for example, a 350-page file uses 2 scripts. For a PDF, every page in the file counts, including covers and blank pages. For a text file, every 3,000 characters, including spaces and line breaks, count as one page, rounded up. Files over 600 pages cannot be uploaded. If you have a plan and a pass, a file uses your plan's scripts first, then your passes', starting with the pass that ends first, and it can use scripts from more than one of them. Before a file uses more than one script, we tell you how many it will use, and it only counts once you confirm. This applies to every plan, the Production Pass and the free trial.

D) Discounts and promotional offers

We may offer discounts, for example a percentage off the first months of a monthly plan for users whose free trial has just ended. Each offer states who it applies to, what it covers and until when it can be used, and it is applied at checkout. When the discounted period ends, the regular price applies. Offers have no cash value and cannot be combined unless stated.

E) Right of withdrawal and refunds

You can withdraw from a purchase within 14 days, wherever you live. Use the form at qbuddy.ai/withdraw or email support@qbuddy.ai. You can also use the model withdrawal form at qbuddy.ai/withdraw#form.

Paid features start as soon as you pay, so at checkout we ask for your express request to start right away. If you then withdraw within the 14 days, you pay for what we provided until you told us, and we refund the rest within 14 days:

• for a subscription, the share of the billing period that has passed;
• for a Production Pass, one fifth of the price for each script you have used, or the share of the 90 days that has passed if that is more.

Your right of withdrawal ends once the contract has been fully performed. Apart from that, payments are non-refundable except where required by law. If you think a charge is wrong or you are entitled to a refund, email support@qbuddy.ai or contact Link support. We review every request. As merchant of record, Link may also issue refunds in certain cases under the Sold through Link terms.

F) Production Pass

A Production Pass is a one-time purchase, not a subscription. It is paid once and never renews or turns into a subscription.

• It runs until the end of the 90th day after you pay (Swiss time), and then ends by itself.
• It includes 5 scripts in total (counted as described in section 8C) for those 90 days and every voice. Scripts you don't use expire with the pass.
• If you also have a subscription, the pass's 5 scripts come on top of your plan's: we use your plan's scripts first. Each pass has its own 90 days and its own 5 scripts. A second pass doesn't extend the first.
• When a pass ends and you have no plan, your account stays open for reading: you can open and rehearse every script you uploaded, with the audio already made. Uploading, new voices and edits that need new audio require an active plan or pass.
• If you switch to a yearly plan within 30 days of buying a pass, email support@qbuddy.ai and we will credit the price of the pass toward it.
• You can cancel a pass at qbuddy.ai/cancel. It ends on its end date and nothing more is charged. To get money back, withdraw within the first 14 days (section 8E).

9) Beta / early access

The Service may be in an early-stage or beta state. Features may change or be removed, and the Service may experience downtime. The Service is provided "as is" and "as available".

10) Intellectual property

The Service (software, design, branding) is owned by the Operator and/or licensors and protected by IP laws. These Terms do not grant you ownership of QBuddy IP.

11) Termination

You may stop using the Service at any time.

We may suspend or terminate access if you violate these Terms, if required by law, or to protect the Service and other users.

12) Disclaimers

To the fullest extent permitted by law, the Service is provided "as is" and "as available". We disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

13) Limitation of liability

To the fullest extent permitted by law, the Operator will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits/data.

The Operator's total liability for any claim relating to the Service will not exceed the amount you paid in the 12 months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in that case, the limitations apply to the maximum extent permitted.

14) Indemnity

You agree to indemnify and hold harmless the Operator from claims, damages, and expenses arising from your Content, misuse of the Service, or violation of these Terms.

15) Changes to the Terms

We may update these Terms from time to time. We will post the updated version with a new "Last updated" date. If changes materially affect your rights, we will provide reasonable notice.

16) Governing law

These Terms are governed by the laws of Switzerland, excluding conflict of law rules, unless mandatory consumer protection rules require otherwise.
